Please read these Terms carefully. By downloading, installing, or using Setwel Biz Suite, you agree to be bound by these Terms and Conditions. If you do not agree, do not use the software. These Terms constitute a legally binding agreement between you and Setwel Africa (Pty) Ltd.
In these Terms and Conditions, the following words have the meanings set out below:
Setwel Biz Suite is a product of Setwel Africa (Pty) Ltd, a South African company established in 2023. We develop accounting, invoicing, and payroll software designed specifically for South African small and medium businesses.
Subject to payment of the applicable fees and your compliance with these Terms, Setwel grants you a personal, non-exclusive, non-transferable, limited licence to install and use the Software on the number of devices specified in your chosen plan.
You may not:
Monthly and annual subscription plans provide access to the Software for the duration of the subscription period. Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time; see our Refund and Cancellation Policy for details.
A Lifetime Licence grants you the right to use the version of the Software purchased indefinitely. Lifetime Licences include one year of free software updates from the date of purchase. After the first year, updates (including new SARS tax year rates) are optional and available at a discounted upgrade price.
Important: A Lifetime Licence does not entitle you to future major versions released after your free update period expires. Your purchased version will continue to function without updates; you simply will not receive new features or updated tax tables until you upgrade.
You may upgrade your plan at any time by paying the difference in price. Downgrades take effect at the start of the next billing period. Contact us on WhatsApp at +27 82 082 9050 to facilitate any plan change.
Setwel offers a 30-day free trial on all subscription plans. No credit card or payment is required to start a free trial. The free trial gives you full access to all features of your chosen plan.
We accept payment through PayFast, South Africa's leading payment gateway. Accepted methods include Instant EFT, credit/debit card (Visa and Mastercard), SnapScan, Zapper, Capitec Pay, and Ozow. Direct EFT is available on request.
All prices are quoted in South African Rand (ZAR) and are inclusive of VAT at 15% where applicable. Current pricing is available at setwelbusiness.co.za/pricing.html. Setwel reserves the right to change prices with 30 days' written notice to existing subscribers.
If a subscription payment fails, you will receive notification and a 7-day grace period to update your payment details. Access to the Software may be suspended after the grace period until payment is received. Your data will not be deleted during a payment suspension.
You are responsible for all applicable taxes in your jurisdiction beyond the VAT included in our prices. Setwel will issue a VAT invoice for all payments received.
All business data, financial records, customer information, and other content you enter into Setwel Biz Suite remains your property at all times. Setwel does not claim any ownership over your data.
Setwel Biz Suite stores all your business data locally on your own device. We do not transmit, store, or back up your business data on any external server. This design ensures your data remains private and under your control at all times.
We process your personal information (name, email address, phone number, billing information) in compliance with the Protection of Personal Information Act, 4 of 2013 (POPIA). We use this information only to provide and improve our services, process payments, and communicate with you. We do not sell your personal information to third parties. The AI invoice scanning feature transmits images of your invoices to our server and onward to an AI processing service for text extraction. These images are processed in real time and are not permanently stored on any external server after processing. By using the scanner feature, you consent to this temporary processing.
You agree to use the Software only for lawful business purposes. You may not use the Software to:
Setwel reserves the right to terminate your licence immediately if we have reasonable grounds to believe you are using the Software for any prohibited purpose.
The Software, including all source code, design, graphics, logos, trademarks, and documentation, is the exclusive intellectual property of Setwel Africa (Pty) Ltd and is protected under South African and international copyright law. Nothing in these Terms transfers any intellectual property rights to you. The licence granted in clause 3 is a licence to use, not a transfer of ownership.
The Setwel name, Setwel Biz Suite name, and associated logos are trademarks of Setwel Africa (Pty) Ltd. You may not use our trademarks without our prior written consent.
Setwel may release updates, patches, and new versions of the Software from time to time. For active subscription customers, updates are included at no additional cost. For Lifetime Licence holders, updates are included free for one year from purchase and are available at a discounted rate thereafter.
Updates may be required to maintain compatibility with current SARS tax year rates, VAT regulations, and other South African statutory requirements. Setwel is not liable for any non-compliance arising from your use of an outdated version of the Software.
The Software is provided on an "as is" and "as available" basis. While we work hard to ensure accuracy and reliability, Setwel makes no warranties — express or implied — regarding the Software's fitness for a particular purpose, uninterrupted availability, or freedom from errors.
To the maximum extent permitted by South African law, Setwel's total liability to you for any claim arising from your use of the Software shall not exceed the amount you paid to Setwel in the 12 months preceding the claim. Setwel is not liable for any indirect, incidental, consequential, or punitive damages, including loss of data, loss of profit, or business interruption.
Setwel is not responsible for errors in your financial records, tax submissions, or business decisions arising from incorrect data entry, misuse of the Software, or reliance on Software outputs without independent verification.
Important: Setwel Biz Suite is a software tool to assist with bookkeeping and tax preparation. It does not replace the advice of a qualified accountant, tax practitioner, or financial advisor. You remain responsible for the accuracy and completeness of all financial records and tax submissions.
Setwel Biz Suite is designed to assist South African businesses with tax compliance. The Software incorporates the applicable SARS tax year rates and VAT rate (15%) as at the date of the current version.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the Software until the end of the period for which you have paid. See our Refund and Cancellation Policy for further details.
Setwel may terminate or suspend your licence immediately, without notice or refund, if you breach any material term of these Terms and Conditions, including but not limited to: fraudulent use, sharing licences, reverse engineering, or using the Software for illegal purposes.
Upon termination, your right to use the Software ceases. Your data remains on your own device and is not deleted by Setwel. You are responsible for exporting and backing up your data before cancelling.
These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising from or relating to these Terms shall be subject to the jurisdiction of the South African courts.
Before initiating any legal proceedings, you agree to first attempt to resolve any dispute by contacting us directly at support@setwelbusiness.co.za or by WhatsApp at +27 82 082 9050. We will respond within 5 business days and endeavour to resolve the dispute amicably.
Unresolved disputes may be referred to the Consumer Goods and Services Ombud (CGSO) or submitted to mediation before the South African courts.
Nothing in these Terms and Conditions limits, excludes, or waives your rights under the Consumer Protection Act, 68 of 2008 (CPA). Where any provision of these Terms conflicts with the CPA, the CPA prevails. Your rights under the CPA include:

Your continued use of the Software after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you may cancel your subscription before the effective date.
